USA Institutions influence and Binance trial

Hello to everyone,

In light of the recent events regarding the DoJ and Binance a few questions rose to my mind that I couldn't find an answer to.

Firstly, the DoJ(an US institution) sues Binance which is an international company, that is not based in America(and never was) , and as far as I'm familiar has not done business in USA directly, only under the binance.us subsidiary. So the first question is: Under what jurisdiction does the DoJ(an US institution) have right to sue Binance(the international one) ?

Secondly, CZ (the founder and now ex-CEO) of binance is currently a Canadian citizen only, he has no american passport and he resides in the UAE. He is in no way connected to the US. How come an US institution sues him and even makes him leave the CEO post, of a company that has no roots in the US. Am I missing something or does the reach of the US institutions just neglect all other jurisdictions and international laws. I'm pretty sure Canada and the US have bilateral extradition agreement but even then is it legal to sue a canadian citizen in an US court on that way?

Considering that the US is one of the countries that doesn't recognize the ICC (international criminal court) it seems very hypocritical to sue foreign nationals in that manner.

And lastly, I'm not even gonna comment on the settlement part which works on the principle: pay a fine and your crime is forgiven, which sounds ridicolous on every logical level.

Excuse me for the long post, my thoughts on the matter were just bugging me and I'd be glad to read your intakes on the same topic.

(for the record I'm an european citizen and I may have dents in my knowledge about how US institutions function, in that case please excuse my ignorance)
