SEC and Regulation

Hi all, My name is Ameer, and I am a high school student from Milwaukee, Wisconsin. I am currently in the preliminary phases of researching my idea to decentralize a stock transfer between 2 wallets. I am working towards creating a smart contract that would allow decentralized payment using stocks with the minimal function of escrow, using stock certificates as a form of Account Balance. People may be able to acquire better rates on purchases as companies may favor taking stock as a form of payment/ collateral. However, I am not sure if this is possible and am having trouble finding out the legalities of this due to strict regulation by the SEC.

Would a less-regulated exchange allow for this to happen? Thanks.
